Welcome to OneX Universe. These Terms of Service ("Terms") govern your access to and use of our website, digital products, and software engineering services. By engaging with OneX Universe, you agree to be bound by these rigorous academic and professional standards.

1. Acceptance of Terms

By accessing our website or executing a Statement of Work (SOW) with OneX Universe, you enter into a binding agreement with us. If you do not agree to these Terms, you may not use our services. We reserve the right to update these Terms at any time to reflect changes in our engineering practices or legal obligations.

2. Engineering Services & Scope

OneX Universe provides high-tier digital architecture, including but not limited to:

• Full-Stack Web Application Development
• Artificial Intelligence & Automations Integration
• Immersive 3D/WebGL Experiences
• Enterprise-grade UI/UX Design

The specific scope, deliverables, and timelines for your project will be strictly defined in a separate, mutually agreed-upon proposal or SOW. Any features requested outside this scope will require a formal change order and may incur additional academic and developmental fees.

3. Intellectual Property Rights

Pre-existing IP: OneX Universe retains all rights to any pre-existing code libraries, proprietary AI algorithms, frameworks, and methodologies used during development.

Client IP: Upon full and final payment, you will receive an exclusive, non-transferable license to use the custom digital reality we have engineered for you, or full ownership of the final deliverables as explicitly stated in your SOW. You guarantee that any assets, branding, or data you provide to us do not infringe on third-party rights.

4. Payment Terms & Billing

We operate on a milestone-based or retainer billing structure, pegged to international standards. Invoices are payable within the timeframe specified in your contract (typically 14 days net). OneX Universe reserves the right to halt development, suspend hosting, or withhold final deployment if accounts fall into arrears. All deposits are non-refundable to secure the allocation of our degree-holding engineering team.

5. Warranties & Academic Rigor

We pride ourselves on uncompromising excellence. We warrant that our services will be performed in a professional manner, utilizing industry best practices. However, owing to the dynamic nature of technology, third-party APIs, and cloud infrastructure, we provide our digital products "as is." We do not guarantee uninterrupted system uptime unless governed by a specific Service Level Agreement (SLA) under a maintenance contract.

6. Limitation of Liability

To the maximum extent permitted by applicable law, OneX Universe shall not be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, data, or other intangible losses arising out of or relating to the use of, or inability to use, the service.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved exclusively in the jurisdiction of Colombo, Sri Lanka.
